Trading in Asmodee Class B Shares Expected to Commence on 7 February

The Embracer Group continues with its planned demerger into three separate listed companies. At the beginning of February, all shares held by Embracer in its subsidiary Asmodee will be distributed to Embracer shareholders on a 1:1 basis.

On 5 February 2025, Embracer Group will distribute all shares in Asmodee Group to Embracer shareholders. Trading of Asmodee's Class B shares on Nasdaq Stockholm is expected to commence on 7 February 2025 (ASMDEE, ISIN: SE0023615638), subject to the publication of Asmodee's prospectus, which is expected on 3 February 2025. Asmodee's Class A Shares will not be admitted to trading.

On 19 November 2024, Embracer announced its intention to contribute €400 million to Asmodee through an equity investment following the completion of the Easybrain divestment. On 24 January 2025, Embracer made the capital contribution by subscribing for shares in Asmodee. All shares held by Embracer in the subsidiary Asmodee will be distributed to Embracer shareholders on a 1:1 basis - this applies to both Class A and Class B shares. The last trading day for Embracer Class B shares, including the right to receive shares in Asmodee, is 3 February 2025. Further information is available here.

In April 2024, the Embracer Group announced that it would split into three distinct games and entertainment companies: Asmodee Group, Coffee Stain & Friends (WT) and Middle-earth Enterprises & Friends (WT). The three entities will become separate, publicly traded companies in order to better focus on their respective core strategies. This change will affect the GSA companies Deca (Berlin), Plaion (Munich/Höfen) and THQ Nordic (Vienna). Deca and THQ Nordic will become part of Coffee Stain & Friends (WT), Plaion will become part of Middle-earth Enterprises & Friends (WT).
